FAVES TERMS OF SERVICE
Effective date: October 9, 2026
Last updated: October 9, 2026
These Terms of Service (the "Terms") are a binding contract between you and 816 Ventures, LLC, a California limited liability company ("Faves," "we," "us"). They govern your use of the Faves mobile apps for iOS and Android, the web app at my.faves.club, the website at faves.club, and the connected-application service known as Faves MCP (together, the "Service").
PLEASE READ THESE TERMS CAREFULLY. THEY REQUIRE THAT MOST DISPUTES BETWEEN YOU AND FAVES BE RESOLVED BY INDIVIDUAL BINDING ARBITRATION RATHER THAN IN COURT, AND THEY WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS BY FOLLOWING THE INSTRUCTIONS IN THE SECTION TITLED "DISPUTE RESOLUTION AND ARBITRATION." THESE TERMS ALSO LIMIT OUR LIABILITY TO YOU.
AGREEMENT TO THESE TERMS
By tapping to accept these Terms, creating an account, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Service.
If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.
WHO MAY USE FAVES
Minimum age. You must be at least 13 years old to create an account or use the Service. The Service is not directed to children under 13, and we do not knowingly permit them to use it or collect their personal information.
Age screening. We ask for your age in a neutral format when you create an account. If you indicate that you are under 13, we will not create an account for you. You agree that the age information you give us is accurate, and you agree not to attempt to circumvent the age screen.
Users aged 13 to 17. If you are under 18, you may use the Service only with the knowledge and consent of a parent or legal guardian, and by using the Service you represent that you have that consent. Accounts held by users under 18 are private by default, and we apply additional protections to them as described in the Privacy Policy. A parent or guardian who permits a minor to use the Service agrees to these Terms on the minor's behalf and is responsible for the minor's use of the Service.
Parents and guardians. If you are a parent or guardian and you wish to review, correct or delete your child's information, or close your child's account, email admin@816.ventures.
Reporting an underage account. If you believe someone under 13 has created an account, email admin@816.ventures with the handle or any identifying detail. We will review the report, disable the account and delete the associated personal information.
Other eligibility requirements. You may not use the Service if we have previously terminated your account or banned you, if you are barred from receiving services under applicable United States law, or if you are located in a country or on a list subject to United States sanctions or export restrictions.
YOUR ACCOUNT
To use most features you need an account. You create one with an email address or by signing in with Google. Ordinary accounts have no password; we send a sign-in link and a one-time code to your email address.
You are responsible for everything that happens through your account, including anything done by a connected application you authorize. Keep access to your email account secure, do not share sign-in links or one-time codes with anyone, and tell us promptly at admin@816.ventures if you believe your account has been accessed without your permission.
You agree to provide accurate information, to keep it current, and to maintain one account for yourself unless we agree otherwise in writing. You may not buy, sell, rent or transfer an account or a handle.
Handles. Handles are allocated on a first-come basis and remain our property. We may reclaim, change or disable a handle at any time, including where it impersonates another person, infringes a trademark, is misleading, or is held but unused.
THE SERVICE IS CURRENTLY FREE
Faves is free to use. There are no purchases, subscriptions, in-app currency or advertising at this time.
We may introduce paid features, subscriptions or other commercial offerings in the future. If we do, we will post the applicable prices and payment terms and obtain your agreement before you are charged. Nothing in these Terms obliges us to keep any feature free, or to keep offering any feature at all.
YOUR CONTENT AND THE LICENSE YOU GIVE US
Your content. "Your Content" means everything you create, upload or submit through the Service, including lists, the titles you add and the order and tiers you assign, head-to-head picks, written notes, voice notes, profile photos, custom-list images, catalog entries you create for missing titles, and the content a connected application creates on your behalf.
You keep ownership. As between you and Faves, you keep all rights you have in Your Content. These Terms do not transfer ownership of Your Content to us.
The license you grant us. You grant Faves a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, modify for technical purposes such as formatting and resizing, publish, publicly display, publicly perform, distribute and otherwise use Your Content, in each case solely in order to operate, provide, secure, improve and promote the Service.
This license is limited in the following ways, which we commit to: We will not sell Your Content. We will not use Your Content to train artificial intelligence or machine learning models, and we require the same of any connected application we allow-list. We will not use Your Content in paid third-party advertising without asking you first.
Promotion of the Service. We may feature public lists and public profiles within the Service and in our own marketing of the Service, including on faves.club and on our social media accounts. If you do not want your public content used this way, email admin@816.ventures and we will stop.
How long the license lasts. The license ends when you delete Your Content or close your account, except that it continues for the limited period needed to purge content from live systems and backups, as described in the Privacy Policy, and except for content that other users have already copied, shared onward or incorporated into their own lists, and for share links and content you have posted to other platforms.
Your promises about Your Content. You represent and warrant that you own or have all rights necessary to post Your Content and to grant the license above, that Your Content does not infringe or violate anyone else's rights, and that Your Content complies with these Terms and the law. If Your Content includes another person's voice, image or likeness, you must have their permission.
We have no obligation to store Your Content. Keep your own copies of anything that matters to you. We are not a backup service.
WHAT IS PUBLIC ON FAVES
Faves is a public product by design, and you should assume that what you post can be seen, copied and shared.
Always public: your handle, display name and profile photo; custom lists; lists created on your behalf by a connected application; and who you follow and who follows you.
Public by default: ordinary lists are public when you create them, and a setting makes a list private. Accounts held by users under 18 are private by default.
Shared links open at my.faves.club and can be viewed by anyone who has the link, whether or not they have an account and whether or not they are signed in. Treat a shared link as fully public.
Once content has been public it may have been copied, cached, indexed by search engines or shared onward. Making a list private or deleting it does not retrieve copies that already exist elsewhere, and we cannot do so for you.
Voice notes. A voice note is a recording of your voice that can be played by anyone who can see the list. Do not record anything you would not want to be public, and do not record another person without their permission.
Images. Profile photos and custom-list images are held in storage where a direct file link may be accessible to anyone who has it. Do not upload an image you would not want to be public.
ACCEPTABLE USE
You agree not to do any of the following, and not to help or permit anyone else to do them.
Content you may not post. Content that is unlawful; that sexually exploits or endangers a minor, including any sexualized depiction of a minor; that is pornographic or sexually explicit; that depicts or incites violence or self-harm; that harasses, bullies, threatens, defames or impersonates any person; that promotes hatred or violence against people on the basis of race, ethnicity, national origin, religion, disability, disease, age, sex, gender identity or sexual orientation; that contains malware; that discloses another person's private information without their permission; or that infringes any copyright, trademark, right of publicity, privacy right or other right.
Conduct that is not allowed. Impersonating another person or misrepresenting your affiliation with anyone. Creating accounts by automated means, or operating fake, bulk or bot accounts. Artificially inflating follows, rankings, boards or any other metric. Scraping, crawling, harvesting or using automated means to access or collect data from the Service, except by a connected application we have expressly authorized. Reverse engineering, decompiling or attempting to derive the source code of the Service, except where that restriction is prohibited by law. Circumventing rate limits, access controls, privacy settings or the age screen. Probing, scanning or testing the security of the Service without our written permission. Interfering with the Service or placing unreasonable load on our infrastructure. Using the Service to send spam or unsolicited promotional material. Selling, renting or commercially exploiting access to the Service or to any part of it. Using the Service in violation of any applicable law, or any third party's terms that apply to content delivered through the Service.
Catalog material. The Service displays posters, cover art, track metadata, trailers and clips supplied by third parties. Those materials are not ours and are not licensed to you. You may view them within the Service and in share cards and takes as the Service is designed to produce them. You may not extract, download, redistribute, republish or make any other commercial use of them, and you are responsible for your own use of any material you post to another platform.
REPORTING, MODERATION AND ENFORCEMENT
How to report. To report content or conduct that violates these Terms, email admin@816.ventures with a link or the handle concerned and a short description. We review reports and respond as quickly as we reasonably can. Where the Service offers in-app reporting and blocking tools, you may use those instead.
What we may do. We may, but are not obliged to, review, monitor, remove, restrict, hide or edit any content, and we may limit, suspend or terminate any account, at any time and for any reason, including where we believe in good faith that these Terms have been violated, that the content or conduct creates risk or legal exposure, or that doing so is necessary to protect users or the public. We may take action with or without notice.
No obligation to monitor. We do not pre-screen content and we have no obligation to monitor the Service. Any decision not to act in a particular case does not waive our right to act in any other case.
Child safety. We do not tolerate content that sexually exploits or endangers a minor. Where we become aware of apparent child sexual abuse material, we will remove it, terminate the account and report it to the National Center for Missing and Exploited Children and to law enforcement as required by law.
You deal with other users at your own risk. We do not verify the identity of users or the accuracy of what they post.
COPYRIGHT AND THE DMCA
We respect intellectual property rights and expect our users to do the same.
Submitting a notice. If you believe content on the Service infringes your copyright, send a written notice to our designated agent containing: your physical or electronic signature; identification of the copyrighted work claimed to have been infringed; identification of the material claimed to be infringing and information reasonably sufficient to let us locate it, such as a link; your name, address, telephone number and email address; a statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent or the law; and a statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.
Designated agent:
Copyright Agent
816 Ventures, LLC
7347 W 89th St, Los Angeles, CA 90045
admin@816.ventures
(323) 412-9989
What we do. On receipt of a compliant notice we will remove or disable access to the material and take reasonable steps to notify the user who posted it.
Counter-notice. If your content was removed and you believe it was removed by mistake or misidentification, you may send a counter-notice to the agent above containing: your physical or electronic signature; identification of the material and the location at which it appeared before removal; a statement under penalty of perjury that you have a good faith belief the material was removed as a result of mistake or misidentification; your name, address and telephone number; and a statement that you consent to the jurisdiction of the federal district court for the judicial district in which your address is located, or if your address is outside the United States, the Northern District of California, and that you will accept service of process from the person who submitted the notice. We may restore the material in 10 to 14 business days unless the complaining party notifies us that it has filed an action seeking a court order.
Repeat infringers. We have adopted and reasonably implement a policy of terminating, in appropriate circumstances, the accounts of users who are repeat infringers. We record copyright strikes against accounts, and an account that accumulates three strikes will ordinarily be terminated. We may terminate an account sooner where the infringement is flagrant.
Misrepresentation. Under 17 U.S.C. section 512(f), a person who knowingly materially misrepresents that material is infringing, or that it was removed by mistake, may be liable for damages.
THIRD-PARTY SERVICES AND CONTENT
The Service depends on third parties, and parts of it will not work if those third parties change or withdraw their services.
Sign in with Google. If you sign in with Google, your use of Google's service is governed by Google's terms and privacy policy.
Spotify. If you link Spotify, your use of Spotify is governed by Spotify's terms. Spotify may change or revoke access at any time.
Catalog data and media. Titles, posters, cover art, track metadata, trailers and clips are supplied by third parties, including TMDB, IGDB, the YouTube Data API and TikTok, and are subject to their terms. Use of the embedded YouTube player is subject to the YouTube Terms of Service, and information is processed under Google's privacy policy.
Posting to other platforms. When you share a take or a share card to TikTok, Instagram, YouTube or any other app, you hand that file to the app you selected. From that point the receiving platform's terms apply, the content may be public and permanent there, and we have no ability to retrieve or delete it.
We do not control third-party services and we are not responsible for them, for their content, or for any loss arising from your use of them.
TAKES
"Takes" are short selfie videos recorded by the front camera and microphone while you count down a list, with list artwork and trailers on screen. On Android 15 and later your screen may also be captured after a system prompt, and the app may enable Do Not Disturb while you record.
Takes are created and stored on your device. We do not upload, receive or store them, we cannot see them, and nothing is posted automatically. They are not covered by the license you grant us above unless and until you submit one to us.
Because takes stay on your device, we cannot recover a take you lose, and deleting your account does not delete takes from your device. Takes normally contain third-party artwork and clips, and you are responsible for your use of that material if you post a take elsewhere.
CONNECTED AI APPLICATIONS
Faves MCP lets a third-party AI assistant act on your account at your request. This feature is in private testing and is available only to users we have allow-listed.
What you are authorizing. If you sign in at faves.club and tap "Allow," the connected application can read your lists, read public lists, create lists and add favorites as you, and see your handle and your email address. Lists it creates are public. There are no finer-grained permissions at present.
You are responsible for what it does. Content a connected application creates on your account is Your Content. You are responsible for it under these Terms exactly as if you had created it yourself, and you should review what a connected application has created on your behalf.
Our requirements for connected applications. Before we allow-list a connected application we require a written agreement limiting it to the purpose you authorized, prohibiting secondary use, expressly prohibiting the training of artificial intelligence models on Faves user content, imposing security and breach-notification obligations, and requiring deletion of your information when you revoke access.
Revoking access. There is not yet a screen where you can see or revoke a connected application. Until there is, email admin@816.ventures and we will revoke the connection within five business days and instruct the provider to delete the information it received. We will add in-app visibility and one-tap revocation before this feature becomes generally available.
Once a connected application has received your information, its own terms and privacy policy govern what it does with it. We are not responsible for a connected application's acts or omissions. Review its terms before you authorize it.
OUR INTELLECTUAL PROPERTY
The Service, including its software, design, interfaces, text, graphics, rankings logic and the Faves name and logo, is owned by Faves and its licensors and is protected by intellectual property law. Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the Service for your own non-commercial use. We reserve all rights not expressly granted.
Feedback. If you send us suggestions, ideas or feedback, you grant us an unrestricted, perpetual, irrevocable, royalty-free right to use them for any purpose without obligation or compensation to you.
BETA AND CHANGING FEATURES
Faves is early-stage software and is under active development. Some features, including Faves MCP, the Spotify link and takes, are experimental, may be limited to selected users, may change, and may be withdrawn.
We may add, change, suspend or discontinue any part of the Service at any time. We will give notice of material changes where we reasonably can. We are not liable to you for any change to or discontinuation of the Service.
SUSPENSION, TERMINATION AND ACCOUNT DELETION
Your right to leave. You may stop using the Service at any time. In-app account deletion is being built and will be available before public launch. Until it is, email admin@816.ventures with the subject line "Privacy Request" to ask us to delete your account, and we will handle the request as described in the Privacy Policy.
Our right to suspend or terminate. We may suspend or terminate your account or your access to the Service, in whole or in part, at any time, with or without notice, if we believe in good faith that you have violated these Terms or the law, that your account creates risk or legal exposure for us or other users, that your account has been inactive for an extended period, or where we discontinue the Service.
Effect of termination. On termination your license to use the Service ends and your public content will be removed from the Service in accordance with the Privacy Policy. Content that others have copied or shared onward, content posted to other platforms, and content retained as permitted or required by law may remain. Sections of these Terms that by their nature should survive termination will survive, including those on Your Content licenses already granted, our intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution and governing law.
DISCLAIMERS
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, FAVES DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED AND STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE OR FREE OF HARMFUL COMPONENTS, THAT DEFECTS WILL BE CORRECTED, THAT CONTENT WILL BE ACCURATE OR COMPLETE, OR THAT CONTENT WILL BE PRESERVED OR RECOVERABLE. CATALOG INFORMATION IS SUPPLIED BY THIRD PARTIES AND MAY BE INACCURATE OR OUT OF DATE.
WE ARE NOT RESPONSIBLE FOR THE CONDUCT OF ANY USER, FOR CONTENT POSTED BY USERS, OR FOR ANY INTERACTION BETWEEN USERS, WHETHER ONLINE OR OFFLINE.
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you. In that case, such warranties are limited to the minimum extent permitted by law.
LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, FAVES AND ITS OFFICERS, MEMBERS, EMPLOYEES, AGENTS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, CONTENT, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, STATUTE OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU HAVE PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100). YOU ACKNOWLEDGE THAT THE SERVICE IS PROVIDED FREE OF CHARGE AND THAT THESE LIMITATIONS ARE A FUNDAMENTAL BASIS OF THE BARGAIN BETWEEN US.
These limitations apply even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you. Nothing in these Terms limits liability for fraud, for gross negligence or willful misconduct, or for any other liability that cannot be limited by law.
INDEMNIFICATION
To the fullest extent permitted by law, you will indemnify, defend and hold harmless Faves and its officers, members, employees and agents from and against any claims, demands, actions, damages, losses, liabilities, costs and expenses, including reasonable attorneys' fees, arising out of or relating to: Your Content; your use of the Service; your violation of these Terms; your violation of any law or of the rights of any third party; or anything done through your account, including by a connected application you authorized.
We may assume the exclusive defense and control of any matter subject to indemnification by you, at your expense, and you agree to cooperate with our defense. You will not settle any matter without our prior written consent.
DISPUTE RESOLUTION AND ARBITRATION
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
Informal resolution first. Before starting an arbitration or a court proceeding, you and Faves agree to try to resolve the dispute informally. The party raising the dispute must send a written Notice of Dispute describing the claim, the relief sought and the contact details of the party raising it. You send yours to admin@816.ventures with the subject line "Notice of Dispute"; we will send ours to the email address on your account. Both parties agree to negotiate in good faith for 60 days from receipt of the Notice. This period is a condition precedent to starting arbitration, and any applicable limitations period is tolled while it runs. An arbitration provider may not accept, administer or assess fees for a case filed before this period has run.
Agreement to arbitrate. Except for the Exceptions below, you and Faves agree that any dispute, claim or controversy arising out of or relating to these Terms, the Privacy Policy, or the Service, including questions of their formation, existence, breach, termination, enforceability or validity, will be resolved by final and binding individual arbitration, and not in court. This agreement to arbitrate is governed by the Federal Arbitration Act.
Exceptions. Either party may bring an individual claim in small claims court if it qualifies. Either party may seek injunctive or other equitable relief in court to prevent the actual or threatened infringement or misappropriation of intellectual property rights. Nothing here prevents you from reporting a matter to a government agency or from participating in an agency proceeding.
Arbitration rules and forum. The arbitration will be administered by the American Arbitration Association under its Consumer Arbitration Rules, as modified by this section. The AAA's rules and fee schedules are available at adr.org. The arbitration will be conducted by a single arbitrator. Unless the parties agree otherwise, the arbitration will be held in the county where you live, or by telephone or video conference, or on the basis of written submissions, at your election. The arbitrator may award any relief available in court to the individual party, and the arbitrator's award is final and binding and may be entered as a judgment in any court of competent jurisdiction.
Fees. Payment of filing, administration and arbitrator fees will be governed by the AAA's rules, and we will pay the share allocated to us. If the arbitrator finds that your claim or the relief sought is frivolous or brought for an improper purpose, the allocation of fees will be governed by the AAA rules and we may seek our fees as permitted by law.
NO CLASS OR REPRESENTATIVE ACTIONS. YOU AND FAVES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE THE CLAIMS OF MORE THAN ONE PERSON AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING. If this paragraph is found unenforceable as to a particular claim or request for relief, then that claim or request for relief, and only that one, will be severed from the arbitration and brought in a court of competent jurisdiction, and the remaining claims will proceed in arbitration. If this paragraph is found unenforceable in its entirety, then the entire agreement to arbitrate will be null and void as to the claims concerned, and those claims will proceed in court.
Coordinated filings. If 25 or more similar Notices of Dispute or arbitration demands are filed against Faves by or with the assistance of the same or coordinated counsel, the parties agree the claims will be administered in staged batches of no more than 50 claims at a time. The first batch will proceed as bellwether cases before a single arbitrator or a small panel, and the parties will use the outcomes to attempt to resolve the remaining claims by global mediation before further batches proceed. No filing fees for later batches will be assessed until the preceding batch is resolved. Any applicable limitations period is tolled for claims awaiting a batch. A court of competent jurisdiction may enforce this paragraph.
YOUR RIGHT TO OPT OUT. You may opt out of this arbitration agreement, including the class waiver, within 30 days of the date you first accept these Terms. To opt out, email admin@816.ventures with the subject line "Arbitration Opt-Out" and include your name and the email address or handle associated with your account. Opting out is free, will not affect your account or your use of the Service in any way, and is the only way to opt out. If you opt out, the "Governing law and venue" section will apply to disputes between us. If you do not opt out within 30 days, you agree to arbitration as set out above.
Jury trial waiver. If for any reason a claim proceeds in court rather than in arbitration, YOU AND FAVES EACH WAIVE ANY RIGHT TO A JURY TRIAL to the fullest extent permitted by law.
Time limit on claims. To the extent permitted by law, any claim arising out of or relating to these Terms or the Service must be brought within one year after the claim arose, or it is permanently barred. This paragraph does not apply to residents of jurisdictions whose law does not permit a shortened limitations period, including California, where the applicable statutory period applies.
Changes to this section. If we make a material change to this section, you may reject the change by emailing admin@816.ventures within 30 days of the change taking effect, in which case the most recent version you accepted will apply to disputes that arose before the change.
GOVERNING LAW AND VENUE
These Terms and any dispute between you and Faves are governed by the laws of the State of California, without regard to its conflict of laws rules, except that the Federal Arbitration Act governs the agreement to arbitrate.
For any claim that is not subject to arbitration, or if you have opted out of arbitration, you and Faves consent to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California, and each party waives any objection to that venue.
This choice of law does not deprive you of the protection of any mandatory consumer or privacy law of the state in which you reside that cannot be waived by agreement.
CHANGES TO THESE TERMS
We may update these Terms from time to time. If we make a material change, we will post the updated Terms with a new effective date and give notice through the Service before the change takes effect.
Your continued use of the Service after the change takes effect means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may close your account. Where the law requires your express consent to a change, we will obtain it.
NOTICES AND ELECTRONIC COMMUNICATIONS
You consent to receive communications from us electronically, including by email to the address on your account and by notices posted within the Service, and you agree that electronic communications satisfy any legal requirement that a communication be in writing.
Notices to us must be sent to admin@816.ventures and, where these Terms require writing, to 816 Ventures, LLC, 7347 W 89th St, Los Angeles, CA 90045.
GENERAL
Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Faves about the Service and replace any prior agreement on that subject.
Severability. If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary and the remaining provisions will remain in full force, except as expressly provided in the class waiver paragraph.
No waiver. Our failure to enforce any provision is not a waiver of our right to do so later. A waiver is effective only if given in writing by us.
Assignment. You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, financing or sale of assets.
No third-party beneficiaries. These Terms do not create rights in anyone other than you and Faves, except that our officers, members, employees, agents and licensors may enforce the disclaimers, limitation of liability and indemnification provisions.
Relationship. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship between you and Faves.
Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, outages, failures of third-party services and network or infrastructure failures.
Apple and Google. If you obtained the app from the Apple App Store or Google Play, these Terms are between you and Faves only, not with Apple or Google, and Apple and Google have no responsibility for the Service. Apple and its subsidiaries are third-party beneficiaries of these Terms as they apply to the iOS app and may enforce them against you. You represent that you are not located in a country subject to a United States embargo or designated as a terrorist-supporting country, and that you are not on any United States list of prohibited or restricted parties. Any claim relating to the app's failure to conform to a warranty should be directed to Faves, not to Apple or Google.
Export. You agree to comply with all applicable United States export control and sanctions laws in your use of the Service.
California consumers. Under California Civil Code section 1789.3, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
